The Opportunity
Reporting directly to the Chief Administrative Officer, the full-time paralegal is a key support role within the Finance and Accounting organization. The paralegal will be responsible for overall process management associated with most legal processes in the finance and admin function including maintenance of: corporate legal libraries and records, standard forms of agreements, corporate governance and related compliance, closing paperwork associated with transactions, statutory registrations, and general legal correspondence. The paralegal will also research certain legal matters and draft certain legal documents, subject to appropriate supervision from Gloo’s General Counsel. Over time, growth opportunities may include similar activities related to intellectual property and state and Federal professional solicitation compliance.
The candidate must possess strong organization, communication, problem solving, teamwork, and multi-tasking skills. Success in the position will depend upon building relationships and interfacing daily with internal stakeholders to maintain process and to identify gaps in compliance. This position, therefore, is onsite in our Boulder HQ.
The ideal candidate operates effectively in ambiguity, is detail-oriented and enjoys working in a fast-paced, high growth environment.
What You’ll Be Doing
- Transitioning the bulk of legal administrative responsibilities currently performed by the Chief Administrative Officer
- Processing and closing paperwork associated with certain transactions against process scripts like:
- Equity financings
- Debt financings
- Unit option and profits units grants
- Membership unit transfers and assignments
- And more
- Assisting as air traffic control (or very interested party) with certain other corporate matters
- Asset Purchase Agreements
- Stock Purchase Agreements
- Prior Agreement Amendments
- Proactively monitoring and coordinating BOD governance requirements
- Maintaining close alignment with the Cap Table
- Many other legal related tasks as assigned
Requirements
What We’re Looking For
- 7+ years of paralegal, project management, and records management.
- Some accounting related exposure is a plus
- Strong organizational skills with the ability to prioritize and multitask
- Strong work ethic - ability to prioritize work and meet deadlines in a demanding detail-oriented environment
- Self-motivated, time efficient and proactive with ability to work under minimum supervision
- Confident dealing with executive and senior management
- Heavy bias toward action and learning
- Enthusiastic team player willing to assist where necessary
- Ability to establish and maintain an effective working relationship with department staff, supervisory personnel, associates, vendors and the general public
- Strong communication, collaboration and interpersonal skills
- Management reserves the right to make exceptions to the minimum qualifications
Compensation: $85,000 - $110,000 plus bonus

💵 Salary: $85,000 - $110,000
